ApexVPN Affiliate Program — Terms of Service

These Terms of Service ("Affiliate Terms") govern participation in the ApexVPN Affiliate Program (the "Program"), operated byApexVPN LLC, a limited liability company registered inDelaware, United States("ApexVPN", "we", "us", "our"). By applying to, joining, or participating in the Program, you ("Affiliate", "you") agree to be bound by these Affiliate Terms, in addition to our generalTerms of serviceandPrivacy policy.

1. Overview of the Program

The ApexVPN Affiliate Program allows approved individuals and businesses to promote ApexVPN products and subscription plans using unique tracking links, banners, and promotional materials provided by ApexVPN, in exchange for commission on qualifying sales generated through that promotion.

2. Eligibility

• You must be at least 18 years old, or the age of legal majority in your jurisdiction, to apply.
• You must provide accurate, current, and complete information during registration, including a valid payment method.
• ApexVPN reserves the right to accept, reject, or remove any applicant or Affiliate from the Program at its sole discretion, with or without cause.
• Current ApexVPN employees, contractors, and their immediate family members are not eligible to participate.

3. Enrollment and Account

Approved Affiliates will receive access to an affiliate dashboard where they can generate tracking links, monitor click-through and conversion statistics, and view commission balances. Affiliates are responsible for maintaining the confidentiality of their account credentials and for all activity conducted under their account.

4. Commission Structure

• Commissions are earned on qualifying purchases of ApexVPN subscription plans made by a new customer who completes checkout after clicking a valid Affiliate tracking link.
• Current commission rates and any tiered or promotional bonus structures are published in the Affiliate dashboard and may be updated by ApexVPN from time to time. Rate changes apply prospectively and do not retroactively alter commissions already earned and approved.
• Commissions are calculated on the net amount actually collected from the customer, excluding taxes, refunds, chargebacks, and payment processing fees.

5. Tracking and Attribution

Sales are attributed to an Affiliate through browser cookies and/or tracking parameters associated with the Affiliate's unique link. The standard attribution window is30days from the initial qualifying click, subject to the customer completing a purchase within that window and not clearing cookies or using a device/browser that blocks tracking. ApexVPN is not responsible for lost commissions due to ad blockers, browser privacy settings, or technical issues outside its reasonable control.

6. Payment Terms

• Commissions are held as "pending" during the applicable refund/chargeback review period and become "approved" once that period elapses without a reversal.
• Approved commissions are paid out on amonthly, net-30basis (i.e., commissions approved in a given calendar month are paid within 30 days of that month's close), provided the Affiliate has reached the minimum payout threshold of$50 USD.
• Available payout methods, and any applicable transfer fees, are listed in the Affiliate dashboard. Affiliates are solely responsible for any taxes owed on commission income in their jurisdiction.

7. Prohibited Promotional Practices

Affiliates may not:

• Bid on ApexVPN's trademarked terms (including misspellings) in paid search advertising, or use them in domain names without prior written consent.
• Engage in spam, unsolicited email/SMS marketing, or misleading advertising that misrepresents ApexVPN's features, pricing, or claims.
• Use incentivized traffic, coupon-stacking, cookie-stuffing, forced clicks, or self-referrals to generate artificial conversions.
• Promote ApexVPN on websites containing illegal, hateful, adult, or infringing content.
• Impersonate ApexVPN or falsely suggest an official partnership beyond that of an approved Affiliate.

8. Fraud, Reversals, and Clawbacks

ApexVPN actively monitors the Program for fraudulent or abusive activity. Any commissions found to result from prohibited practices, fraudulent transactions, refunded or charged-back orders, or violations of these Affiliate Terms may be voided or clawed back from current or future payouts. ApexVPN reserves the right to withhold payment and terminate the Affiliate's account pending investigation of suspected fraud.

9. Intellectual Property and Marketing Materials

ApexVPN grants Affiliates a limited, non-exclusive, non-transferable, revocable license to use ApexVPN-provided logos, banners, and marketing copy solely for promoting the Program, in accordance with any brand guidelines ApexVPN provides. This license terminates automatically upon termination of the Affiliate's participation in the Program. Affiliates may not alter ApexVPN's trademarks or create derivative branding.

10. Relationship of the Parties

Affiliates participate in the Program as independent contractors. Nothing in these Affiliate Terms creates an employment, partnership, joint venture, or agency relationship between ApexVPN and the Affiliate.

11. Term and Termination

Either party may terminate participation in the Program at any time, for any reason, with or without notice. Upon termination, unpaid commissions that were fully approved prior to termination will generally still be paid, subject to ApexVPN's standard review process; commissions still pending review, or resulting from a violation of these Affiliate Terms, may be forfeited.

12. Disclaimer and Limitation of Liability

The Program is provided "as is." ApexVPN makes no guarantee regarding the amount of traffic, conversions, or earnings an Affiliate may achieve. To the maximum extent permitted by law, ApexVPN's total liability arising from the Program shall not exceed the total commissions paid to the Affiliate in the three (3) months preceding the claim.

13. Changes to These Affiliate Terms

ApexVPN may update these Affiliate Terms from time to time. Material changes will be communicated via the Affiliate dashboard or the email address on file. Continued participation in the Program after changes take effect constitutes acceptance of the revised terms.

14. Governing Law

These Affiliate Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, and any disputes shall be subject to the exclusive jurisdiction of the courts located in Delaware, unless otherwise required by applicable law.
